Effective Date: October 31, 2026 Between: Pride Nest Properties, LLC ("Pride Nest") and the business subscribing to PrideNestProOS ("Customer")
This Subscription Agreement forms part of the PrideNestProOS Terms of Service. A separately signed order form or Master Services Agreement controls if it conflicts with this document.
1. Plans and Pricing
- Core: $1,500 one-time setup fee; $199 per month; up to 5 users; 100 AI estimates included per month.
- Elite: $3,500 one-time setup fee; $349 per month; up to 15 users; 300 AI estimates included per month.
Prices are in U.S. dollars and exclude applicable taxes, which the Customer is responsible for. Promotional or coupon pricing applies only as stated when the code is redeemed.
2. Setup Fee
The setup fee is charged once per company, together with the first subscription payment. It covers onboarding, configuration, website build or import, domain setup assistance, and implementation. The setup fee is non-refundable, including if the Customer cancels, except as required by law or as stated in Section 9.
3. Monthly Charges and Billing
Subscription fees are billed monthly in advance to the Customer's payment method on file and renew automatically each month. The Customer authorizes Pride Nest and its payment processor to charge all fees when due. Billing is processed through Base44 Payments.
4. No Long-Term Commitment
Subscriptions are month to month with no minimum term. The subscription continues each month until canceled under Section 6.
5. Overages and Add-ons
- AI estimates: additional blocks of 100 AI estimates are available for $29.95 per block per month. When the monthly allowance is used up, further AI estimates are paused until the next period or until an add-on block is purchased. Unused estimates do not roll over.
- Users: adding users beyond the plan limit requires upgrading to a higher plan.
- Payment processing: for payments the Customer collects from its own customers through the Platform, Pride Nest charges a platform fee of 1% of each payment, in addition to the payment processor's own fees, which are set by the processor.
- Custom work: work beyond standard setup is quoted separately in writing before it begins.
6. Cancellation
- Cancel any time: the Customer may cancel at any time, with no early termination charge. Cancellation stops future billing, and access continues through the end of the month already paid.
- No refunds on cancellation: subscription fees already paid and the setup fee are not refunded, in whole or in part, when the Customer cancels.
- How to cancel: by email to Pride Nest support or through any cancellation option provided in the Platform.
7. Late Payment and Suspension
If a payment fails, Pride Nest will notify the Customer and provide a ten (10) day grace period to update the payment method. If payment is not received by the end of the grace period, access to the workspace and the Customer's public website may be suspended until the balance is paid. Amounts already owed remain due after suspension.
8. Plan Changes
Upgrades take effect immediately; any setup fee difference and the new monthly price apply from the upgrade date. Downgrades take effect at the next billing period.
9. Refunds
Fees are non-refundable except:
- If Pride Nest terminates for convenience, or materially breaches this Agreement and fails to cure within thirty (30) days of notice, the Customer receives a pro-rated refund of prepaid, unused subscription fees.
- Duplicate or erroneous charges will be refunded once confirmed.
- As otherwise required by nonwaivable law.
10. Price Changes
Pride Nest may change prices with at least thirty (30) days' advance notice. The Customer may cancel before the new price takes effect.
11. Data Export After Termination
For thirty (30) days after termination, the Customer may request an export of its business records and customer data. After that period, data is deleted as described in the Privacy Policy and Data Processing Agreement.
12. Taxes
The Customer is responsible for all sales, use, and similar taxes on fees, other than taxes on Pride Nest's income.
13. Disputed Charges
The Customer must raise billing disputes in writing within sixty (60) days of the charge. The parties will work in good faith to resolve the dispute before the Customer initiates a payment chargeback.
